In August 2015, Private Equity International compiled a list of the biggest investors in private equity. The list includes four categories of investors which include direct investors, fund investors, as well as investors that invest in co-investments and secondary investments. Direct investing is when an investor directly invests in private companies. It could be buying the entire company or a minority investment. Fund investing is when an investor goes to a private equity fund and the private equity fund buys companies on the investor’s behalf. Co-investing is the most complicated option. For instance, an investor invests $50 million in a private equity fund with co-investment rights, meaning that when the fund looks for opportunities it can allow the investor to participate not only through the fund, but directly as well. An example of this would be when a fund is looking at investment in a $40 million company. That investment needs $30 million equity and $10 million in debt. The equity portion given by the fund (without co-investing) would be $30 million dollars. In the case of co-investing, the fund gives $20 million (in which the investor is participating through the fund) with the remaining $10 million (i.e. the difference between the $20 million in equity given by the fund and the $30 million equity needed) is offered to the investor to do on a direct basis resulting in the fund investing $20 million and the investor investing $10 million. When investors invest into a fund, they pay full “two and twenty” fees (i.e. typically paying a 2% management fee and a 20% performance fee). By investing $10 million directly, other than a small deal origination fee, investors are able to reduce their overall fees. (For more on fees see the following video). The fourth way to invest in private equity is through secondaries. In this example, our investor makes a commitment to invest $50 million in a private equity fund by giving about $10 to $20 million dollars to the private equity fund up front for the first two fund investments. As more acquisitions are made, the private equity fund makes capital calls to the investor. The investor is usually locked into the private equity fund for seven to ten years (or longer). If the investor wants out of this agreement, the commitment can be sold to other investors. The sale can be of the entire commitment (which would include the existing deals that the private equity fund was already made, plus future capital calls) or it can be done through a structured secondary (selling different parts) where the investor may want to keep the existing investments and just sell the future commitments. As easy as an investor can sell a secondary, it can buy one as well. Returning to the August 2015 list of all the types of investments in private equity compiled by Private Equity International, we see that the Canada Pension Plan Investment Board (CPPIB) tops the list. CPPIB participates in all types of investments including direct, fund investments, co-investments, and secondaries. One of its most notable investments was in Skype. Skype was purchased from eBay in 2009 and sold to Microsoft in 2011. CPPIB had a small portion of that deals. In 2009, CPPIB invested $300 million and in 2011 it received $933 million. Yes, that’s right; CPPIB put in $300 million and received $933 million back in two years. Not too bad! To recap: Investors in private equity are institutions including pensions like CPPIB, endowments, foundations, and individuals. In 2016, individuals are mostly family offices and select high net worth individuals. In the future, more and more people are going to have access to private equity.

Vanguard Group Inc. is a mega player in the managed asset sector. Vanguard is the world leader in index-style mutual fund investing, and the two largest mutual funds in existence, the Vanguard Total Stock Market Fund and the Vanguard 500 Index Fund, come from that pool. The company is in control of net mutual fund assets, with assets under management (AUM) worth $2.4 trillion, and continues to add huge new sums each year. Vanguard was founded in 1975 by John Bogle, who designed the first indexed mutual fund. As of December 2015, it is headquartered in Malvern, Pennsylvania. While studying at Princeton, Bogle discovered the majority of mutual funds could not compete with a broad basket of stocks, namely the S&P 500. He believed, and Vanguard openly accepts, that most fund managers are incapable of consistently winning through an active stock selection strategy. Even though Vanguard accepts investor money from all demographics and has certain funds that cater to high-net-worth individuals, no other investment manager so actively and successfully targets the average and relatively less-sophisticated investors. It also actively targets long-term investors and has very little by way of high-frequency funds. A Lipper Insight report in August 2015 showed Vanguard is growing at a clip that none of its competitors come close to matching. Over the first eight months of the year, Vanguard took in more than $140 billion in net new money at the fund-management level. Compare that to the next 10 largest net inflows among other money managers, which was just $124 billion. Vanguard Investment Philosophy Vanguard is very clear on its philosophy. There are four key parts to the Vanguard message: 1. Know your goals; 2. Maintain balance; 3. Keep an eye on costs; and 4. Invest with a long-term perspective. These four big principles do not change, but some of the tactics beneath the big principles can be targeted to do important things. Vanguard CEO Bill McNabb often refers to balance and diversification, though he admitted in 2015 the approach to diversification must be different in a post-Great Recession economy. Part of the new Vanguard approach includes broader exposure to ex-U.S. equity stocks. Investors have responded to the new international pitch. The two largest gainers of the Vanguard fleet in 2015 are the Vanguard Total International Stock Index Fund and the Vanguard Total International Bond Index Fund. What this philosophy means for the average investor is Vanguard funds tend to be cheap and have large, spread-out portfolios. The Vanguard Group website boasts that Vanguard expense ratios for mutual funds are 82% lower than the industry average as of December 2014. Vanguard has dozens and dozens of equity funds to buy, but just one of these funds has an expense ratio higher than 50 basis points (bps) as of Q4 2015. Shares of Akzo Nobel (AKZOY) have been flat this year due to slower sales in China. Dale Winner, portfolio manager for the Wells Fargo Advantage International Equity Fund (WFENX), said the Dutch coatings manufacturer will paint a prettier profit picture in coming months. 'The majority of its sales are domestic in Europe so it is benefitting from the beginning of a recovery economically and that’s more than offsetting any slowness which is temporary in China,' said Winner, adding that lower titanium dioxide costs will also help Akzo Nobel’s profit margins going forward. The Wells Fargo Advantage International Equity Fund is up 4.7% so far this year, according to fund-tracker Morningstar. The $405 million fund sports a trailing 12 month yield of 4.8%. Winner sees China Everbright as a big winner in the stock market even though China’s overall economy is slowing. He said the company is benefitting from the opening of the Chinese financial markets. 'The bigger drivers of that stock price are the continued structural reforms, the continued deregulation of the financial markets rather than the temporary slowdown on the manufacturing side of the Chinese economy,' said Winner.
